THE AGREEMENT

Terms of Service

These Terms of Service are an agreement between you and Tianrun Hou, an individual operating UYards as a sole proprietor in Hong Kong (“UYards”, “we”, “us”). You can reach us at support@uyards.com. By creating an account or using UYards, you agree to these terms, our Privacy Policy and our Community Guidelines.

1. Eligibility and accounts

You must be at least 18 years old to use UYards. We ask you to confirm this when you create an account. We may suspend or close an account and delete its data if we believe the holder is under 18, and we may ask you to verify your age, including by providing identification.
Provide accurate account and verification information, keep your login details secure and do not share or sell your account.
Campus verification confirms the evidence reviewed at the time. It is not an endorsement by a university, and not a guarantee of identity, conduct or continuing affiliation.

2. Education and identity integrity

UYards relies on truthful education and affiliation information to protect trust within campus communities. You must not knowingly falsify, alter, obtain improperly or misuse any student document, university email, admission record, qualification, identity detail or other verification evidence.
Deliberate deception, attempted verification fraud or material misrepresentation is treated as a serious threat to community safety. Depending on severity and applicable law, UYards may reject or revoke verification, block access, suspend the account, permanently delete the account, preserve relevant enforcement records, and report suspected unlawful conduct to the appropriate authorities.
If you entered information incorrectly without intent to deceive, contact support promptly so it can be corrected. Enforcement decisions consider intent, context, evidence, severity, harm and account history.

3. Using UYards

You may use UYards for lawful personal participation in campus communities. You must follow our Community Guidelines, respect other users and comply with applicable law. You may not misuse the service, bypass access controls, scrape data, interfere with operation, impersonate others or use UYards to harm people.

4. Your content

You keep ownership of content you submit. You give UYards a worldwide, non-exclusive, royalty-free, sublicensable and transferable licence to host, store, reproduce, display, transmit and adapt that content, solely as needed to operate, secure and improve the service. The right to sublicense exists so that our hosting, storage and delivery providers can carry your content to the people you share it with; it is not a right to license your content for unrelated purposes.
This licence ends when the content is deleted, except for copies reasonably retained for backup, legal, safety or enforcement purposes. We do not use your content or messages to train generative artificial intelligence models.
You are responsible for having the rights needed to share your content and for ensuring it does not violate law, privacy, intellectual-property rights or our Community Guidelines.
If you send us suggestions or feedback about UYards, you allow us to use them without restriction or obligation to you.

5. Organisation accounts and commercial content

UYards may make available accounts for verified organisations, such as universities, student bodies, societies and employers, and may show content published by them, including information about events, internships and other opportunities. Such content may be paid for or otherwise commercially arranged, and we will identify it as coming from an organisation.
UYards does not employ you, does not act as your agent, and does not guarantee the accuracy, legality, availability or quality of any opportunity, organisation or offer presented through the service. Any application, arrangement or contract you enter into with an organisation is between you and that organisation. Check the terms of any opportunity yourself, and never pay money to secure a job or internship offered through UYards.
If you hold work, study or immigration permissions that limit the work you may lawfully do, it is your responsibility to comply with them.
Organisations using UYards are additionally bound by separate organisation terms.

6. Meeting people in person

UYards helps you find people. It does not vet them. We do not conduct criminal-record checks, identity background checks or any other screening of users beyond the campus verification described above, and campus verification says nothing about whether a person is safe to meet.
You are solely responsible for your interactions with other users, online and offline. Meet in public, tell someone you trust where you are going, and use your own judgement. UYards does not supervise, participate in or take responsibility for off-platform meetings.
To the extent permitted by law, you accept the risks of interacting with other users and release UYards from claims arising out of the conduct of any user.

7. Moderation and enforcement

We may review reports, restrict visibility, remove content, block access, limit features, suspend accounts or permanently delete accounts when reasonably necessary to enforce these terms, protect users or comply with law. We aim to review reports and act on serious violations promptly, and in any event to remove objectionable content and eject the responsible user within 24 hours of a report we uphold.
Enforcement decisions may use automated signals as well as human review. Where a decision that significantly affects your account was made using automated signals, you may ask for it to be reviewed by a person. You can appeal an account or moderation decision through the process on our Support page.

8. Third-party services

UYards relies on third-party services for functions such as authentication, hosting and storage. Their own terms may apply when you use them. Universities and other organisations referenced in UYards do not necessarily sponsor, operate or endorse the service.

9. Service changes

We may add, change, suspend or discontinue features, including features offered without charge. We aim to keep UYards available and reliable, but do not guarantee uninterrupted or error-free operation.

10. Disclaimers and liability

To the extent permitted by law, UYards is provided “as is” and “as available”, without warranties of any kind. We are not responsible for user conduct, user-generated content, off-platform meetings or decisions made based on information in the service.
To the extent permitted by law, UYards will not be liable for indirect, incidental, special, consequential or exemplary loss, or for loss of profits, data, goodwill or opportunity, arising from use of the service. To the extent permitted by law, our total aggregate liability arising out of or relating to UYards is limited to the greater of the amount you paid us in the twelve months before the claim arose and HK$1,000.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.

11. Your responsibility to us

To the extent permitted by law, you will indemnify UYards against loss, liability and reasonable costs arising from your breach of these terms or our Community Guidelines, your misuse of the service, your content, or your infringement of another person’s rights. We will notify you of any claim we seek indemnity for and will not settle it without consulting you.

12. Ending your account

You may stop using UYards at any time and delete your account under Profile → Settings → Delete account. We may suspend or terminate access for a serious or repeated breach of these terms. Provisions that by their nature should survive termination—including ownership, licences granted for retained copies, enforcement records, indemnities, disclaimers and limits of liability—will continue to apply.

13. Governing law and disputes

These terms and any dispute arising out of or relating to them or to UYards are governed by the laws of the Hong Kong Special Administrative Region, and the courts of Hong Kong have non-exclusive jurisdiction.
If you use UYards as a consumer in a place whose law gives you rights that cannot be excluded by agreement, nothing in this section removes those rights or your ability to bring proceedings in the courts of the place where you live.

14. General

These terms, together with our Privacy Policy and Community Guidelines, are the entire agreement between you and us about UYards.
If any provision is held unenforceable, the rest of these terms continue in force.
If we do not enforce a provision, that is not a waiver of our right to enforce it later.
You may not transfer your rights under these terms. We may transfer ours as part of a reorganisation, merger or sale, provided your rights are not reduced.
We may give you notice in the app or by email to the address on your account. You can give us notice at support@uyards.com.
Neither party is liable for failure to perform caused by events beyond its reasonable control.
If you obtained UYards through the Apple App Store: this agreement is between you and us, not Apple; Apple has no obligation to provide support for UYards and is not responsible for it; and Apple and its subsidiaries are third-party beneficiaries of this agreement and may enforce it against you.

15. Changes and contact

We may update these terms. We will post the revised terms and effective date. Where a change materially affects your rights, we will give you notice in the app before it takes effect and, where the law requires it, ask for your agreement separately rather than relying on your continued use.
